Perak Crisis Tale -The Fall Of A Democracy Company (Fictional Company version)


If we put in this way and imagine Perak is a company,
here is the Perak Crisis story would sound like.

Perak Crisi Tale

Disclaimer
By the way, do not treat this story as real because this is just a
make up blog post.

This blog post is a story like Peter Pan or Alice Wonderland,
hopefully you don`t complain that I misleading any truth,
because a story is a story, everything can be make up and
it is just for entertainment purpose.

You need to read the company own newspaper to understand
what is going on the company.

Do not use search engine or youtube because they gives you
too much information and sometimes confuse you.

Here is the story:

Background
Perak is one of the subsidiary company under a holding company
called Malaysia.

Mr.Nizar has been appointed as this company called Perak
as CEO officially during last election because his team
has out number other team by 31 vs 28 for the total 59 company board
members positions they compete against.

The Betrayal and Take Over

One year later, a board member(Nasaruddin Hashim)
from Mr.N team decided to join Nizar team.
This make Nizar team consists of a total 32 board members,
out number the other team by 3 members.

10 days later, Mr.N from the main holding company
hold press conference and announce to public that his team
now have the major number of board members and ready
to form new management team to handle the Perak company.

It is true enough that, 3 of Mr.Nizar team members (Hee Yit Foong,
Jamaluddin Mohd Radzi, Mohd Osman Mohd Jailu) and
the early joined board member(Nasaruddin Hashim) left
Nizar team and went to support other team.

It is later found that Nasaruddin Hashim is actually a spy
send by Mr.N’s team. They have planned all the
take over a year ago after their team loss the election
to gain management control on Perak.

Jamaluddin, Osman and Hee later being found that
that have behind stories leaving Nizar team.

Hee being found out that she took 20 million bribe
to turn against Nizar team while Jamaluddin and Osman
have offered 3 million each plus clearance of their
corruption case.

Many of the share holders disagree with the take over
by Mr.N team and voiced out their thoughts.

The Missing Members And Resignation Letters
While his team member went missing and un-contactable,
Mr.Nizar quickly throw out the resign letter these 3
team members after sensing something is wrong.

It is known that all Mr.Nizar team members need to sign
a compulsory agreement letter to resign if they quit the
team before representing their team as board members.

This is a prevention steps Nizar’s team took to ensure
the interest of his team and share holders who selected
their team to manage Perak.

If 3 of them resigned, then a small election need to take place
to select 3 new board members again.

Mr.Siva, the board management chairman accepted
the resignation letters and submit to election team
so that new election can be take place.

However, the resign letter is not accepted by the election team
for the reason of “doubt exits” as the board members
stated that they do not want to resign.

So even the company’s management board chairman accepted
the letter of resignation but still holding company’s election team
have more power to decide on company’s board members faith.

The earlier thoughts of election team will act based on company’s
management board chairman advise is totally wrong.

They actually goes extra steps to contact board members to
see whether what the company board management chairman tell them
is actually correct. If it is conflicting, they rather not follow what
the company board management chairman’s advice.

Election team is truly a life saver for the 3 board members who
switched team.

Howerver, this shocked the board management chairman as the
election team seems to have the ability to block the
business decision.

Company Advisor Make Business Decision For Company
Mr.Nizar went to see company’s advisor on the same day
to request for dissolve of the board members management
team.

Mr. N also approach company’s advisor the next day.

After that, the company’s honourable advisor decided
to demote Mr.Nizar CEO position and promote Mr.Zambry
from  Mr. N team as new CEO because he found that Mr.Nizar
team’s board member is less than Mr.N team now.

This again shocked many shareholders as a company advisor
is now have the ability to make business decision skipping the
board of management.

Challenging The Company Advisor
After our poor Mr.Nizar know this, he refuse to step down
and protested. He questioned the company honourable
advisor’s right to demote him.

Of course, he upset some of the company share holders
and a few even labelled him the “company traitor” as he
question and challenge the honourable advisor’s decision.

In the mean time, Mr.N form new management team and
Mr.Zambry and 6 of his new own picked board members
went for company appointment ceremony which
chaired by the company advisor as normal company tradition to
officially employ and welcome new company CEO.

Nizar’s team supporter protested the ceremony to take place
and some minor company’s share holder even try
to block Mr.Zambry and his member’s cars to prevent
them attending the ceremony.

The company’s security and guards go all out to
make sure the ceremony went on and arrest a few
minor share holders who trying to stop the
ceremony.

Mr. Nizar decided to held company board meeting and get
the board support and later seek official approval from
the company advisor to dissolve the company board
management team and go for a new board member
election by all the share holders again.

The Enforcement Team Also Get Involve Into Business
As it is not written in company rules and regulations that
a company honourable advisor has the right to demote
a company CEO but his job is more on giving advise and
consult, Mr.Nizar still consider himself the rightful CEO
and decided to call for an emergency board meeting to
support his decision to dissolve the board plus seek for
another board election.

Obviously Mr. Zambry afraid the odd will turn against him and
did not agree with this.

So he made report to company security and surprisingly managed to
get company security and local police support to forcefully stop
Mr.Nizar to step in to office building to carry out company
board meeting.

This has become the breaking news as it is the first time
enforcement team involve themselves into a company
business’s decision.

Security team suppose NOT to take order from company
directly but to operate independently to make sure the
company is safe.

But guess what, if you get paid directly by the company,
you got no choice by follow order.

It seems to the world that this Mr.Zambry has very
influencing power on company security team and police
even he is just a new company advisor’s appointed CEO.

Of course many more know that it is because of Mr.N
that hold power in the main holding company.

Mr.N used to head the company security team.

The Meeting Under The Tree

Not only that, company’s board meeting secretary
(Abdullah Antong Sabri) also sided to Mr.Zambry and
lock the office admin building to prevent Mr.Nizar and
other board members to hold the board meeting.

This shocked Mr.Nizar and many people as why a company’s
secretary has such power to override CEO and stop
the board of directors to hold meeting in the company?

Police report was made and company’s security guard
is called but all supported to the company secretary instead.

Mr.Nizar immediately order dismissal of the company
board meeting secretary’s-Abdullah Antong Sabri.
It leave Mr.Nizar and his supporting board members no
choice but to held the meeting under a tree within the
company compound.

So the board member successfully held and it is witnessed
by hundreds of company’s share holders, the press and the
world as well.

Later they named the tree which they held company board
meeting as “The Tree of Democracy” and set-up a plaque to
memorize the history moment under the tree.

The board meeting comes to conclude that the appointment
of Mr.Zambry as CEO is not official and they should dissolve the
company board to held another round of election and select
new company CEO in that manner to resolve the conflict.

It is wise to let all the share holders of the company to decide
who should become the board members again for the company
benefits and to avoid corruption.

The company meeting speaker, Mr.Siva also execute his power to ban
Mr.Zambry, or the 6 new board members he brought in from attending
any company board meeting as he found them not “officially” appointed
via proper company’s process.

This is the same case with the 3 who betray as they have signed a
loyal letter upfront and need to resign if they leave the team.
So Mr.Siva accepted the resignation letters and ban them from
attending board meeting.

He also suspend the company secretary but later the company
law and discipline department rejected the suspension.

The reason is the company board meeting secretary is
directly assigned by the main holding company and they cannot
remove them without main holding company agreement.

The Revenge and Demonstrating Power

After Mr.Zambry know this, he told the public and the company’s
share holders that it is not “legal” to held company meeting
outside the company office, furthermore, the board is meeting
held under a tree.

He does not honour the meeting result and somehow the
plaque set-up under the so called “Tree of Democracy”
later has been vandalised by unknown party then later
officially demolished by the company maintenance department.

The company security team close the case with lack of
evident found after a brief investigation.

So Mr.Zambry not only shown his influencing power on
security department but also maintenance department.

Of course, at this moment, the company share has drop to the
lowest point ever in the history.

Many share holders are thinking about pulling out from the
company.

Many investors stop or reduce their investment on the
company but the company spoke man deny this.

The Attempt To Seek For Justice
The poor Mr.Nizar has no choice but to seek his justice through
company’s law & discipline department that operate independently.

It is quite an drastic move because company law & discipline department
cannot and should not influence a company decision.

But because Mr.Nizar brought up the “legitimate” question of the
right of a company’s honourable advisor to demote a company
CEO, therefore the case is accepted.

Many strange thing happen then, the law officer in charge of
the case suddenly pulled out and declare that he might be biased and
not suitable to advice on this case.

He request a more un-bias discipline officer to take over the case.

So Mr.Nizar has to wait for another arrangement despite this case
is so important for the operation of the company.

The Company Operation Take Over
While the company law & discipline department have not come to any
conclusion yet, Mr.Zambry has start moving in the company and
order Mr.Nizar to move out.

Not only that, the first thing Mr.Zambry does is to sell off more
than 10 company cars bought previously by Mr.Nizar manufactured
by another holding company even for a loss for the reason those
cars are not made by the main holding company -Malaysia.

Mr.Zambry opinion is this, as a company operate under Malaysia,
they should use Malaysia cars to show their by patriotism and love for the
main holding company.

Another side story is Mr.N from the main holding allow
another subsidiary company named “Terengganu” to
use not main holding manufactured cars (Mercedes E200 Kompressor)
as the cost of repairing the own holding company made car
come to more than a millions in just 4 years.

Every shareholders is wondering why the Malaysia made car is so
un-reliable and cost so high to repair even it is own company
manufactured car?

Also everyone has no idea why this Mr.Zambry insist to
sell these so called (Toyata Camry) cars purchased
by Mr.Nizar’s team and make company loss money.

Cann`t these cars used for other purpose?

Also, Mr.N seems to agree on Mr.Zambry’s decision to sell
these cars and make a loss as well.

Some company share holders buy the idea but many
more disagree as the decision will just cause the company
more money from the share holders.

Anyway, the car has sold and replaced by cars made by
Malaysia, which has no clue why it is reported
to have high maintenance fees for many years even the
cars is manufactured by own holding company.

Using his power as company’s CEO, Mr.Zambry talk to new investor
and get them invest into company’s projects. He also come out
with several mega project including building a new company
airport and got main holding company, Mr N strongly support on this.

Finance Department Confusion
Mr. Zambry requested to pay for his salary and those
new directors he brought in.

Company finance department was confused because there
will be lots of money from the share holders need to pay for
two CEO while the company discipline and law department
has come to any conclusion.

They called a meeting and invites Mr. Nizar, Mr. Zambry and
his members to try to resolve the conflicts.

It is known later that all the salary need to be paid, despite the law
and discipline department is working on the case.

Mr.Zambry File Complaint To Holding Company’s Law and Discipline Department
The Perak company board of management chairman, Mr.Siva has
chaired a board meeting to suspend Mr.Zambry and six of his board members
18 months from attending the company board meeting.

Not satisfy with this, Mr. Zambry file a complaint to holding company Law’s
and disciple department to pull back Mr.Siva decision.

The holding company’s law and discipline department has been handling
Mr.Zambry complaint with high efficiency and later decided that
Mr.Siva do not have right to suspend and prevent Mr.Zambry from
attending Perak board meeting as Mr.Zambry and his members has go
through all the process probably.

It is the first time in the company history that the company’s law and
discipline department get involve into company business and judge
the company management board’s decision and decided
the right of the company board management’s chairman.

It was previously thought by many shareholders that a company
law and discipline department should not interfere business decision
but what happened proved that it is not the case.

Later the holding company’s anti corruption has start a case to investigate
if Mr.Siva abuse his power also.


Mr. Nizar First Win

Guess what, after several tough moments, Mr. Nizar finally
manage to get Perak’s law and discipline department
to review the case.

It has been later decided by Perak’s senior law and
discipline officer,  Abdul Aziz Abdul Rahim that Mr. Nizar
is the rightful CEO and also deny that the company advisor
have right to remove the CEO.

Mr.Zambry Demonstrated His Magic Power
Soon after the announcement, Mr.Zambry
demonstrate his magic power again.

He got approval from main holding company law and
discipline within 1 day to hold back the company’s
law and discipline decision as he decided
to appeal for this case.

Seems like either Mr.N or Mr.Zambry has really good
connection in the holding law and discipline department.

The world witnessed how efficient the main  holding
company law and discipline department handled
Mr.Zambry complaint.

The Dark And Confusion Period
Ever since the case has been postponed to make way
for Mr.Zambry to appeal the decision, Perak undergoes
the dark and confusion period.

No one can  tell who is the rightful CEO now.
However, Mr.Zambry continue to sit in the company,
attending company meeting, even present budget proposal.

Mr.Zambry and his members still draw salary and
attend all company official meeting.

No one in the company dare to protest as the company’s
security department, maintenance department, law department,
anti corruption department, admin department, HR department seems
under Mr.Zambry and Mr.N control.

Anyone dare to protest will either being investigated for
discipline problem, corruption problem or warning letter
from admin department.

Most of the worker in Perak company afraid to loss
their job and not get paid, especially the company
business is really bad.

The Fall Of A Democracy Company
Months passed by, finally the time to determine
who is the rightful CEO by the holding company law
and discipline department has come.

This time, there are 5 law and discipline officers
in charge of the case, they are president of the
holding company law and discipline department,
Mr. Alauddin Mohd Sheriff, the head law officer
of holding company-Mr.Arifin Zakaria, law officer-
Mr.Zulkefli Ahmad Makinuddin, law officer-
Mr.Mohd Ghazali Mohd Yusoff, law officer-
Mr.Abdull Hamid Embong.

Mr.Nizar attempts to request for 11 law officers
earlier so that it is hard for Mr.N’s team to manipulate
all the 11 officers but it is rejected.

It is decided by all 5 of the holding company’s law officer
that Mr Zambry is the rightful CEO.

The reasons given is that Mr.Nazir team does not have
majority board members to form management team
anymore after 3 of his board members left.

After the law officers concluded their decision,
it is also come to the end of the democracy company as
it transformed the company into a monarchy company.

Now, it is known to world that:

1) A CEO position can be empty even the CEO refuse to resign, the management
board is not dissolve, there is no non-confident motion passed during
official board meeting and CEO submitted the application to dissolve the management
board to the company advisor.

2) Company advisor can determine a CEO loss his majority support
without passing the no-confident motion during a company official board meeting.

3)  Company advisor can and have the power to empty the company CEO
position and assigned another candidate  if the CEO refuse to step down or resign.

Everyone witnessed how the holding company’s law and discipline
destroy the principle set by the founder of the holding company where
company advisor should not involve in company’s management.

That’s the fall of the once democracy holding company as well as all it’s other
subsidiary companies and the start of a new monarchy holding company.

Questions of the story
If the Perak company is a subsidiary of Malaysia holding company, why
Mr.N insists to have his team take over the operation?

Mr.N and his team can earn more money?
How?
By running mega projects?
How come?
I do not get it.
Corruption?
I thought the company have anti-corruption department,
law and discipline department and security department to
make sure that those are corrupted receive punishment?
They also corrupted?
I do not believe it.
If they are really corrupted, it will be easily tell because
they will just do all the double standard things and
biased to one side.

At the end of the day, what is the different in which team run the business
if both team are really towards the benefits of the shareholders but
not their own pocket?

As a company’s shareholder, what is your feeling if the team you selected
to manage the company suddenly switched to another team and therefore
changing CEO, causing company shares to drop and you losing money?

Later on the company’s security team disallow you to protest and arrest you
unless you protest the right way or team.

I have not tested it personally but just sharing here in case you
live in Malaysia and want to go for a street demonstration, this

Then the law department tell you that the company advisor can decide which
team manage the company without:
1) the need to go through company board meeting
2)pass the no confident trust motion against the CEO from
the board member that you selected
3)dissolve the board of management so that you can have the choice
to reselect the person to manage the company again.

Also, the law and discipline department also concluded that the company
advisor has the right to basically get rid of the CEO if he refuse to accept
the company advisor advice to step down.

In short, if you are a shareholder in this company, your right to choose
who to run the business for this company is just disappear.

The company become a private own company instead of a public listed
company.

This also means, you become a worker in this company instead of shareholder.
The priority of the business is to do well in business and make the company
owners richer and not really focus on taking care the workers.
